Affiliate Terms & Conditions

These Affiliate Terms (“Affiliate Terms”) apply to your participation in the Helm Affiliate Program (“Program”). By enrolling in or participating in the Program, you agree to these Affiliate Terms in addition to Helm’s standard Terms and Conditions at [helmseo.com/legal/terms] (the “Main Terms”). If there is any conflict between these Affiliate Terms and the Main Terms, these Affiliate Terms control solely with respect to your participation in the Program.
1. Eligibility
- To participate, you must be at least 18 years old and capable of forming a binding contract.
- Helm reserves the right to reject or remove any affiliate application at its discretion.
- Affiliates must have an active Helm account in good standing to be eligible for commissions.
2. Enrollment
- To join, you must submit an affiliate application through Helm’s designated affiliate platform.
- Acceptance is at Helm’s sole discretion. Approval does not create an exclusive relationship.
3. Commissions
- Affiliates earn a commission on qualifying referrals that purchase a paid Helm subscription through their unique tracking link.
- Commission rates and structures are described on the Program page at [helmseo.com/affiliate] and may be updated from time to time.
- Helm reserves the right to adjust commission structures with reasonable notice.
4. Payouts
- Commissions are paid monthly, subject to a minimum payout threshold (e.g., $50).
- Payments are made via the method specified in your affiliate account (e.g., PayPal, bank transfer).
- Helm is not responsible for fees charged by payment providers or incorrect payment details submitted by the affiliate.
5. Restrictions
Affiliates agree not to:
- Use misleading, fraudulent, or deceptive practices to generate referrals.
- Bid on Helm trademarks or domain names in paid advertising (e.g., Google Ads).
- Engage in spam, unsolicited messages, or unlawful marketing practices.
- Misrepresent Helm’s services, pricing, or features.
- Use coupon or discount sites unless explicitly approved in writing by Helm.
Helm may terminate or withhold commissions for violations of these restrictions.
6. Intellectual Property
- Helm grants affiliates a limited, non-exclusive, revocable license to use Helm’s logos, links, and approved marketing assets solely to promote Helm under this Program.
- Affiliates may not alter Helm’s branding, present themselves as Helm, or imply a partnership beyond the affiliate relationship.
7. Termination
- Helm may suspend or terminate your participation in the Program at any time, with or without cause, by providing notice.
- Affiliates may terminate their participation by providing written notice to Helm.
- Upon termination, affiliates must immediately stop using Helm’s branding and affiliate links.
- Any unpaid, valid commissions earned before termination will be paid in the normal course, unless termination was for fraud or violation of these Affiliate Terms.
8. Taxes
- Affiliates are responsible for any taxes, duties, or fees related to commission payments.
- Helm may request tax information (e.g., W-9 for U.S. affiliates) and withhold payments if required by law.
9. Relationship of Parties
- Affiliates are independent contractors. Nothing in these Affiliate Terms creates a partnership, agency, or joint venture between Helm and the affiliate.
- Affiliates may not make commitments on behalf of Helm.
10. Modifications
- Helm may update these Affiliate Terms from time to time. Continued participation in the Program after changes take effect constitutes acceptance of the updated Affiliate Terms.
11. Governing Law
- These Affiliate Terms are governed by the laws of the State of Oregon, United States, without regard to conflict of laws principles.
- Disputes related to the Program will be resolved under the same arbitration terms as outlined in Helm’s Main Terms.
